1. Acceptance of Terms

By accessing, installing, or using any Nexren software, platform, or service (collectively, the "Service"), you ("Customer", "User", or "you") confirm that you have read, understood, and agree to be legally bound by these Terms & Conditions and our Privacy Policy.

If you are entering into these terms on behalf of a company or organization, you represent and warrant that you have the legal authority to bind that entity. If you do not agree to these terms, you must not access or use the Service.

2. Description of Services

Nexren provides an AI-powered enterprise platform comprising a suite of AI tools and industry-specific solutions. The Service includes, but is not limited to:

AI Tools

• Voice AI: Industrial-grade speech recognition, voice command processing, multilingual transcription, and conversational AI interfaces for manufacturing floors, warehouses, and operational environments
• Note AI: AI-driven meeting transcription, smart note-taking, automatic summarisation, and structured knowledge capture from spoken or written content
• Drawing AI: Automated extraction of dimensions, tolerances, material specifications, and production estimates from technical drawings, engineering blueprints, and CAD files
• Agentic AI: Autonomous AI agents capable of multi-step task execution, workflow orchestration, intelligent decision-making, and integration with enterprise systems

Industry Solutions

• AI for CCTV: Smart video surveillance powered by AI, including real-time crowd analytics, ANPR, PPE compliance detection, perimeter security, fire & smoke detection, and centralized video management via the Servelens platform
• AI for Sales: AI-assisted sales pipeline management, lead scoring, conversation intelligence, deal forecasting, and conversion optimisation tools
• AI for Quality: Automated visual defect detection, inline quality inspection, non-conformance reporting, and AI-driven quality assurance for manufacturing and production lines
• AI for Operations: Workflow automation, process monitoring, operational bottleneck detection, activity tracking, and productivity analytics for industrial environments
• AI for Knowledge Management: Enterprise knowledge base creation, intelligent document search, semantic retrieval, and institutional memory tools for organizations

The Service is provided on a subscription basis as agreed in your purchase order, proposal, or service agreement. Feature availability may vary by plan and by the specific solution or module subscribed to.

3. License Grant

Subject to your compliance with these terms and timely payment of applicable fees, Nexren grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business operations, limited to the number of users, devices, cameras, and solution modules specified in your subscription plan.

This license does not include the right to:

• Sublicense, sell, resell, or transfer the Service to any third party
• Modify, copy, or create derivative works of the Service
• Reverse engineer, decompile, or disassemble any component of the Service
• Access the Service for competitive benchmarking or to build a competing product
• Remove or obscure any proprietary notices or labels on the Service
• Use one solution module's output or data to train or improve AI systems outside the Nexren platform without prior written consent

4. Restrictions on Use

You must not use the Service for any of the following purposes:

• Unlawful surveillance, monitoring, or any activity that violates applicable privacy, data protection, or employment laws
• Monitoring individuals in areas where there is a reasonable expectation of privacy (e.g., restrooms, changing rooms) without proper legal authorization
• Recording, processing, or storing voice conversations without the knowledge or consent of the individuals being recorded, where required by applicable law
• Processing confidential third-party documents, drawings, or intellectual property through Nexren systems without the authorization of the rightful owner
• Building or training AI models using data extracted from any Nexren solution without prior written consent
• Attempting to gain unauthorized access to Nexren systems, infrastructure, or other customer accounts
• Transmitting malicious code, spam, or content that is illegal, harmful, or offensive
• Exceeding the user, device, camera, or module limits specified in your subscription without authorization

You are solely responsible for ensuring that your use of each Nexren solution complies with all applicable laws, including but not limited to the Information Technology Act, 2000 (India), applicable surveillance and recording regulations, and any industry-specific data protection requirements relevant to your sector.

5. Data & Privacy

Nexren processes various categories of data on your behalf depending on the solutions you use, including video footage, audio recordings, voice commands, transcripts, documents, technical drawings, and operational data. As the data controller, you are responsible for:

• Obtaining all necessary consents and permissions for video surveillance, audio recording, and any other data collection from employees, visitors, or any individuals whose data is processed through the Service, as required by applicable law
• Displaying appropriate notices informing individuals that they may be recorded or monitored where required
• Determining the lawful basis for processing personal data captured through any Nexren solution
• Ensuring that any documents, drawings, or proprietary data uploaded to the Service are done so with appropriate authorization
• Complying with data subject access requests, correction requests, and erasure obligations

Nexren acts as a data processor and will process personal data only as directed by you and in accordance with our Privacy Policy and any applicable Data Processing Agreement.

Data Retention

Data processed by the Service — including video footage, audio transcripts, extracted document data, and AI-generated outputs — is retained in accordance with your configured retention settings and subscription plan. Nexren does not retain data beyond the period specified in your plan unless required by law or agreed otherwise in writing.

6. Camera Data & AI Processing

By connecting any data source to the Nexren platform — including cameras, microphones, document repositories, or drawing files — you grant Nexren the right to process that input solely for the purpose of delivering the AI features and analytics included in your subscription.

Video & Camera Data (AI for CCTV)

By connecting cameras to the Nexren platform, you authorize Nexren to process video streams for detection, analytics, recording, and alerting features included in your CCTV or surveillance subscription.

Voice & Audio Data (Voice AI / Note AI)

By using Voice AI or Note AI features, you authorize Nexren to process audio input, voice commands, and spoken content for transcription, summarisation, command execution, and related features. You confirm that all individuals whose voices are processed have been informed and have consented where required by law.

Documents & Drawings (Drawing AI / Knowledge Management)

By uploading documents, engineering drawings, or files to Nexren, you confirm you hold the necessary rights to share such materials and authorize Nexren to process them for extraction, analysis, indexing, and retrieval purposes.

Nexren does not:

• Sell, share, or monetize your data — whether video, audio, documents, or otherwise — with third parties
• Use your data to train its AI models without your explicit written consent
• Provide your data to law enforcement without a valid legal order, except as required by applicable law

7. Payment & Billing

Subscription fees are as set out in your purchase agreement or official proposal. All fees are exclusive of applicable taxes (including GST) unless otherwise stated.

• Annual subscriptions are payable in advance upon invoice
• Monthly plans are billed on the same date each month
• Overdue invoices may result in suspension of the Service after 15 days' written notice
• Fees are non-refundable except as expressly stated in writing or required by law
• Add-on modules or additional solution subscriptions are billed as agreed at the time of order

Nexren reserves the right to revise subscription pricing upon 30 days' written notice prior to renewal. Continued use of the Service after the effective date of a price change constitutes acceptance of the new pricing.

8. Intellectual Property

The Service, including all software, algorithms, AI models, voice models, computer vision models, document processing pipelines, user interfaces, documentation, and content created by Nexren, is the exclusive intellectual property of Nexren Technologies Pvt. Ltd. and is protected by Indian and international copyright, patent, trademark, and trade secret laws.

Nothing in these terms transfers any ownership of Nexren intellectual property to you. Any feedback, suggestions, or improvements you provide regarding the Service may be used by Nexren without restriction or compensation.

You retain ownership of all data, documents, drawings, audio recordings, and other content you upload or connect to the Service. Nexren claims no ownership over your input data or the outputs generated specifically from your data.

9. Disclaimers & Warranties

Nexren does not warrant that:

• The Service will be uninterrupted, error-free, or completely secure
• AI detection, transcription, extraction, or classification accuracy will meet specific numerical targets in all deployment environments or languages
• Voice AI or Note AI outputs will be a verbatim or legally certified record of spoken content
• Drawing AI extractions will be error-free or suitable for use in safety-critical engineering without independent verification
• Agentic AI actions will produce outcomes free of unintended consequences in all scenarios
• The Service will prevent all security incidents, safety events, or operational failures
• Results generated by any Nexren AI module will be legally admissible as evidence in all jurisdictions

10. Limitation of Liability

NEXREN'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID OR PAYABLE BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Termination

Either party may terminate the Service subscription at the end of the current subscription period by providing 30 days' written notice.

Nexren may suspend or terminate your access immediately and without prior notice if you:

• Materially breach these terms and fail to cure the breach within 10 days of written notice
• Use the Service for illegal or unauthorized purposes, including unlawful surveillance or unauthorized processing of third-party data
• Fail to pay fees after the applicable grace period

Upon termination, your right to access the Service ceases immediately across all subscribed modules and solutions. Nexren will retain your data for 30 days post-termination to allow export, after which it will be deleted in accordance with our data retention policy.

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these terms shall first be attempted to be resolved through good-faith negotiation.

If the dispute cannot be resolved within 30 days of written notice, both parties agree to submit to the exclusive jurisdiction of the courts located in Gurugram, Haryana, India.
